Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and NeuroPilot ("NeuroPilot", "we", "us", "our") governing your access to and use of our websites, applications, APIs, and AI-enabled products (collectively, the "Services"). If you do not agree to these Terms, do not use the Services.

1. Acceptance and Scope

By accessing or using the Services, you confirm that you have the legal capacity to enter into this agreement and that you will comply with these Terms and all applicable laws.

Additional terms may apply to specific features, paid plans, APIs, promotions, or enterprise offerings. If there is a conflict, specific feature terms control for that feature.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal personal or business purposes.

You may not resell, sublicense, lease, mirror, or commercially exploit the Services except as explicitly authorized by us in writing.

The Services use AI and machine-learning systems. Outputs may be inaccurate, incomplete, biased, outdated, or inappropriate for your specific context.

You are solely responsible for reviewing, validating, and deciding whether to rely on outputs. Outputs are not legal, medical, financial, tax, or other regulated professional advice.

AI-Generated Content Notice: All outputs provided by our Services are generated by artificial intelligence models. To prevent confusion and misidentification, NeuroPilot has added prominent indicators at the interface to remind users that the content is AI-generated. You should not treat outputs as authoritative professional advice.

6. User Content, Inputs, and Outputs

You retain ownership of content you submit ("Input") subject to any third-party rights. As between you and NeuroPilot, and to the extent permitted by law, you own outputs generated for you ("Output").

You grant NeuroPilot a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and process Input and Output as necessary to provide, secure, improve, and enforce the Services and comply with law.

You represent that you have all rights, permissions, and lawful bases required to submit Input and use Output.

Rights to Inputs and Outputs: (1) You retain any rights, title, and interests in your Inputs; (2) We assign any rights, title, and interests in the Outputs to you; (3) You may apply the Inputs and Outputs to a wide range of use cases, including personal use, academic research, and derivative product development.

7. Data Use for Model Improvement

We may use aggregated and de-identified data to improve the Services. Your data will not be used to train third-party AI models without your consent.

Opt-Out Option: If you do not wish for your data to be used for service improvement, you can opt out by turning off "Data for Experience Optimization" in Settings > Data Management.

8. Feedback

If you provide suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

9. Paid Plans, Billing, and Refunds

NeuroPilot offers both free and paid subscription plans. By purchasing a paid plan, you agree to the following terms:

10. Third-Party Services

The Services rely on third-party providers including cloud infrastructure, AI service providers, authentication services, and analytics tools. We are not responsible for third-party products, uptime, or policies. When you use the Services, your data may be processed by these providers in accordance with their terms.

11. Intellectual Property Rights

The Services, including software, model orchestration, interface design, text, graphics, and trademarks, are owned by NeuroPilot or its licensors and protected by applicable law. No rights are granted except as expressly stated in these Terms.

12. Copyright Complaints (DMCA-Style Notice)

If you believe content on the Services infringes your copyright, contact neuropilotai@proton.me with sufficient detail (identity of work, location, good-faith statement, and authorized signature). We may remove or disable allegedly infringing content and may terminate repeat infringers in appropriate circumstances.

Our processing of personal information is described in our Privacy Policy, which is incorporated by reference.

14. Suspension and Termination

We may suspend or terminate your access immediately if we reasonably believe you violated these Terms, created legal risk, engaged in fraud, or threatened platform security.

You may stop using the Services at any time. Termination does not affect obligations that by nature should survive, including payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions.

15. Service Changes and Availability

We may modify, add, suspend, or discontinue any feature at any time. We do not guarantee continuous availability, specific feature set, or error-free operation.

16. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, except as required by law.

17. Limitation of Liability

To the fullest extent permitted by law, NeuroPilot and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business interruption.

Our aggregate liability for all claims related to the Services will not exceed the greater of: (a) fees paid by you to NeuroPilot in the 12 months preceding the event giving rise to the claim, or (b) USD $100.

18. Indemnification

You agree to defend, indemnify, and hold harmless NeuroPilot, its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

19. Dispute Resolution, Arbitration, and Class Action Waiver

Please contact us first at neuropilotai@proton.me for informal resolution. If unresolved, either party may require final and binding arbitration for eligible disputes, except where prohibited by law or where small claims court is available.

To the maximum extent allowed by law, claims must be brought on an individual basis only, and not as a plaintiff or class member in any class, consolidated, or representative action.

If arbitration is unenforceable in your jurisdiction, disputes will be resolved by courts of competent jurisdiction. Nothing in this section limits non-waivable consumer rights.

20. Export Controls and Sanctions

You may not use the Services if you are located in, ordinarily resident in, or otherwise subject to restrictions under applicable export control or sanctions laws.

21. Time Limit for Claims

To the extent permitted by law, any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the cause of action arose, otherwise it is permanently barred.
